These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "Customer") and Remy Sales ("we," "us," "our," or "Company"), governing your access to and use of the website remysales.com (the "Site") and any purchases made through the Site or at our physical retail location in Toronto, Ontario, Canada.

By accessing the Site, creating an account, or placing an order, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Site or make any purchases.

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, including the Ontario Consumer Protection Act, 2002 (S.O. 2002, c. 30, Sched. A) (the "CPA"), the Competition Act (R.S.C., 1985, c. C-34), and the Sale of Goods Act (R.S.O. 1990, c. S.1). Nothing in these Terms limits or excludes any rights you may have under applicable consumer protection legislation that cannot be waived or limited by contract.

1. Eligibility

You must be at least 18 years of age, or the age of majority in your jurisdiction of residence, to use the Site or make a purchase. By using the Site, you represent and warrant that you meet this requirement and have the legal capacity to enter into these Terms.

2. Account Registration

• You may create an account to access certain features, including order history, wishlists, and expedited checkout.
• You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
• You agree to provide accurate, current, and complete information during registration and to update such information promptly if it changes.
• You must notify us immediately at support@remysales.com if you suspect any unauthorized use of your account.
• We reserve the right to suspend or terminate your account at our discretion if we reasonably believe you have violated these Terms or engaged in fraudulent activity.

3. Products & Pricing

3.1 Product Descriptions

We make every reasonable effort to display and describe our products accurately, including materials, gemstone specifications, dimensions, and weight. However, due to the nature of fine jewelry and variations in digital displays, actual products may vary slightly in color, size, or appearance from images shown on the Site. Such minor variations do not constitute defects and are not grounds for return or exchange.

3.2 Pricing

• All prices on the Site are displayed in United States Dollars (USD) unless otherwise indicated.
• Prices are subject to change without notice. The price charged for any product is the price displayed at the time your order is placed and confirmed.
• In the event of a pricing error, we reserve the right to cancel any order placed at an incorrect price. If an order has already been charged, we will issue a full refund.
• Prices do not include applicable taxes, duties, or shipping charges, which are calculated and displayed at checkout.

3.3 Product Availability

All orders are subject to product availability. We reserve the right to limit quantities, discontinue products, or refuse orders at our discretion. If an item in your order becomes unavailable after your order is placed, we will notify you promptly and offer a full refund for the unavailable item.

4. Orders & Payment

4.1 Order Acceptance

Placing an order on the Site constitutes an offer to purchase. All orders are subject to acceptance by us. We may refuse or cancel any order for any reason, including but not limited to: product unavailability, pricing errors, suspected fraud, or failure of identity or payment verification. An order is not accepted until we send you an order confirmation email.

4.2 Payment

• Payment is processed securely through Stripe, a PCI DSS Level 1 certified payment processor. We accept major credit and debit cards as displayed at checkout.
• Your card will be charged when you place your order. All transactions are encrypted using TLS/HTTPS.
• Remy Sales never receives, stores, or has access to your full card number, CVV, or expiration date.
• You represent and warrant that you are authorized to use the payment method provided and that the information you provide is accurate.

4.3 Order Confirmation

Upon successful payment, you will receive an email confirmation with your order number and details. This constitutes our acceptance of your order and the formation of a binding contract. Please retain this confirmation for your records.

5. Shipping & Delivery

5.1 Domestic Shipping (Canada)

• We ship to all provinces and territories within Canada.
• Standard and expedited shipping options are available at checkout. Estimated delivery times are provided as estimates only and are not guaranteed.
• All jewelry shipments are fully insured and require a signature upon delivery.

5.2 International Shipping

• We ship worldwide, subject to applicable export restrictions and sanctions.
• International orders may be subject to import duties, customs fees, and taxes levied by the destination country. These charges are the sole responsibility of the Customer and are not included in the purchase price or shipping cost.
• Remy Sales has no control over customs processing times or delays and is not responsible for any resulting delivery delays.
• We are not responsible for any items seized, held, or destroyed by customs authorities.

5.3 Risk of Loss

Title and risk of loss for purchased items pass to you upon delivery to the carrier. For shipments requiring a signature, risk of loss transfers upon your (or your authorized representative's) signature at delivery.

6. Returns, Exchanges & Refunds

6.1 Return Policy

We want you to be completely satisfied with your purchase. You may return eligible items within 30 days of delivery for a refund or exchange, subject to the following conditions:

• Items must be in their original, unworn condition with all tags, certificates, and packaging intact.
• Items must not show any signs of wear, alteration, damage, or engraving.
• Returns must be shipped using a tracked, insured shipping method. We are not responsible for items lost or damaged in return transit.

6.2 Non-Returnable Items

The following items cannot be returned or exchanged:

• Custom-made, engraved, or personalized jewelry.
• Items that have been resized, altered, or repaired by a third party.
• Items purchased during final clearance sales (as clearly marked at the time of purchase).
• Gift cards.

6.3 Refund Process

To initiate a return, contact us at support@remysales.com with your order number and reason for return. Upon receiving and inspecting your return, we will notify you of the approval or rejection of your refund. Approved refunds are processed to the original payment method within 10 business days. Shipping charges are non-refundable unless the return is due to our error or a defective product.

6.4 Ontario Consumer Protection Act

For purchases qualifying as "internet agreements" under Part III of the Ontario Consumer Protection Act, 2002, you have the right to cancel within 7 days of receiving a copy of the agreement (order confirmation), or within 30 days of the agreement date if no copy is received. This right applies in addition to, and does not diminish, our 30-day return policy.

7. Product Warranty

All Remy Sales jewelry is covered by a one-year limited warranty from the date of delivery against manufacturing defects in materials and workmanship. This warranty covers:

• Defective clasps, settings, or closures.
• Stone loss due to defective prong settings (when the item has not been subjected to abnormal use or impact).
• Discoloration or tarnishing that occurs under normal wearing conditions within the warranty period.

This warranty does not cover:

• Normal wear and tear, scratches, or dents.
• Damage caused by misuse, neglect, accident, improper care, or exposure to chemicals.
• Damage resulting from repairs, modifications, or resizing performed by unauthorized third parties.
• Loss or theft.

To make a warranty claim, contact support@remysales.com with your order number and photographs of the defect. Nothing in this warranty limits or excludes implied warranties or consumer guarantees under the Ontario Sale of Goods Act or other applicable law to the extent such rights cannot be excluded.

8. Intellectual Property

All content on the Site, including but not limited to text, images, photographs, graphics, logos, icons, product designs, page layouts, and software, is the property of Remy Sales or its licensors and is protected by Canadian and international copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, republish, download, store, transmit, or commercially exploit any content from the Site without our prior written consent, except for personal, non-commercial use such as viewing and printing pages for your own reference.

9. Prohibited Conduct

By using the Site, you agree not to:

• Use the Site for any unlawful purpose or in violation of any applicable law.
• Place fraudulent orders or provide false or misleading information.
• Attempt to gain unauthorized access to any part of the Site, other accounts, server systems, or networks.
• Use automated tools, bots, scrapers, or crawlers to access or extract data from the Site without our express permission.
• Interfere with or disrupt the integrity or performance of the Site or its infrastructure.
• Submit reviews that are false, misleading, defamatory, or that you are not entitled to make.
• Circumvent or attempt to circumvent any security features, rate limits, or access restrictions.
• Resell or commercially redistribute products purchased from the Site without our written authorization.

We reserve the right to terminate your access and report violations to appropriate law enforcement authorities.

10. Reviews & User Content

By submitting reviews, comments, or other content to the Site, you:

• Grant Remy Sales a non-exclusive, royalty-free, perpetual, irrevocable, worldwide license to use, reproduce, modify, and display such content in connection with our business operations.
• Represent that the content is your original work (or that you have the rights to submit it), is truthful and accurate, and does not infringe any third-party intellectual property or privacy rights.
• Acknowledge that we may, but are not obligated to, moderate, edit, or remove user content at our sole discretion.

11. Limitation of Liability

To the maximum extent permitted by applicable law:

• Remy Sales shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or use, arising out of or related to your use of the Site or any purchase made through it.
• Our total aggregate liability for any claim arising from or related to these Terms or your use of the Site shall not exceed the total amount paid by you for the specific product or order giving rise to the claim.
• We are not liable for any delay or failure to perform our obligations where such delay or failure results from circumstances beyond our reasonable control (see Force Majeure, Section 15).

Nothing in these Terms excludes or limits our liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot be lawfully excluded under the laws of Ontario or applicable consumer protection legislation.

12. Indemnification

You agree to indemnify, defend, and hold harmless Remy Sales, its directors, officers, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your breach of these Terms; (b) your use of the Site; (c) your violation of any law or the rights of any third party; or (d) any content you submit to the Site.

13. Dispute Resolution

13.1 Informal Resolution

Before initiating any formal dispute resolution proceedings, you agree to contact us at support@remysales.com to attempt to resolve the dispute informally. We will make good-faith efforts to resolve your concern within 30 days.

13.2 Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of the Province of Ontario, sitting in the City of Toronto.

13.3 Consumer Rights Preserved

Nothing in this section limits your right to bring a claim in any jurisdiction where you are entitled to do so under mandatory consumer protection laws. If you are a consumer in the European Economic Area, you may also access the European Commission's Online Dispute Resolution platform at ec.europa.eu/odr.

14. Privacy

Your use of the Site is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Site, you consent to the practices described in our Privacy Policy.

15. Force Majeure

Remy Sales shall not be liable for any delay or failure in performance resulting from causes beyond our reasonable control, including but not limited to: acts of God, natural disasters, epidemics or pandemics, war, terrorism, government actions or orders, embargoes, sanctions, labor disputes, carrier delays, supply chain disruptions, power outages, internet or telecommunications failures, or cyberattacks. In such events, our obligations are suspended for the duration of the event, and we will use reasonable efforts to mitigate the impact and resume performance as soon as practicable.

16. Modifications to These Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated by posting a notice on the Site and, where we have your email address, by email notification. Changes take effect upon posting unless a later effective date is specified. Your continued use of the Site after changes are posted constitutes acceptance of the revised Terms. If you do not agree with any changes, you must discontinue use of the Site.

17. Severability & Waiver

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall continue in full force and effect. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

18. Entire Agreement

These Terms, together with our Privacy Policy and any order-specific terms provided at checkout, constitute the entire agreement between you and Remy Sales with respect to your use of the Site and supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written, relating to the subject matter herein.
